Terms of Service

Terms of Service for superhero.pw — the creative workspace for series production.

1. Acceptance of Terms

By accessing or using the superhero.pw platform (“Service”), operated by Farm Red Studios (“Company,” “we,” “us,” or “our”), you (“User,” “you,” or “Licensee”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you are at least 13 years of age.

2. Description of Service

superhero.pw is a creative workspace for series production — including comics, episodes, and stories — that enables users to plan, write, produce, and organize projects from first draft to final page. The Service includes, but is not limited to:

  • Series dashboard and project management
  • Episode and comic planning tools
  • Script editor and task management
  • Character profile and library management
  • Notes, scraps, and visual reference organization
  • Timeline and analytics views
  • Billing and subscription management via Stripe

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, including the availability of any feature, database, or content.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account if any information provided proves inaccurate, not current, or incomplete.

4. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, Farm Red Studios grants you a non-exclusive, non-transferable, limited license to access and use the Service for your personal or internal business purposes during the term of your subscription.

No right or license is being conveyed to you to use the Service for any purpose that is unlawful or prohibited by these Terms. You may not:

  • Make copies of the Service or any part thereof, except as reasonably necessary for backup purposes
  • Reverse engineer, decompile, or disassemble the Service
  • Modify, adapt, alter, or create derivative works based on the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
  • Use any automated means to access the Service for any purpose without our express written permission
  • Use the Service to transmit any material that is unlawful, harassing, libelous, defamatory, or otherwise objectionable

5. Subscription and Payment

5.1 Subscription Plans

We offer both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase. All fees are quoted in US Dollars unless otherwise stated.

5.2 Payment Processing

All payments are processed through Stripe, Inc. (“Stripe”). By subscribing to a paid plan, you authorize Farm Red Studios, via Stripe, to charge the applicable fees to your selected payment method.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the end of the then-current period. Renewal fees will be charged at the then-current rate.

5.4 Changes in Pricing

We reserve the right to adjust our pricing at any time. We will provide you with at least 30 days’ notice before any price change takes effect. Price changes will apply to your next billing period.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • You will retain access to paid features through the end of your current billing period
  • No partial refunds will be issued for unused portions of a billing period
  • We may offer refunds on a case-by-case basis at our sole discretion

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content (excluding content created by Users), features, and functionality are and will remain the exclusive property of Farm Red Studios and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Farm Red Studios.

6.2 Your Content

You retain all rights to content you create, upload, or store within the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display your User Content solely for the purpose of providing the Service to you.

6.3 Feedback

If you provide Farm Red Studios with any feedback, suggestions, or ideas regarding the Service (“Feedback”), you acknowledge that Farm Red Studios may use such Feedback without restriction or obligation to you.

7. Confidentiality

You recognize that the Service contains proprietary and confidential information of Farm Red Studios. You agree not to disclose or reveal to any third party, or utilize for your own benefit other than as permitted by these Terms, any proprietary information provided through the Service, provided that such information was not previously known to you or to the general public.

You agree to take all reasonable precautions to preserve the confidentiality of our proprietary information. The provisions of this section shall survive termination of these Terms.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload, post, or transmit any material that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service or any system or network connected to the Service
  • Use the Service for any purpose that is unlawful or prohibited by these Terms

9. Warranty Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, FARM RED STUDIOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE EFFECTIVE, ACCURATE, OR RELIABLE. YOU USE THE SERVICE SOLELY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FARM RED STUDIOS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS EXCEED THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Farm Red Studios and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Any content you submit, post, or transmit through the Service

12. Termination

12.1 Termination by You

You may stop using the Service at any time. You may delete your account by contacting us at [email protected]. Upon account deletion:

  • Your User Content may be permanently deleted within 30 days
  • You will lose access to all features and data associated with your account
  • These Terms will no longer apply to you, except as noted otherwise

12.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability
  • We shall not be liable to you or any third party for any modification, suspension, or termination of the Service

13. Post-Termination Rights

Upon expiration or termination of your account, all rights granted to you under these Terms shall immediately terminate and revert to Farm Red Studios. You must discontinue all use of the Service.

Upon termination, Farm Red Studios may require that you export your User Content. We will provide a reasonable period (at least 30 days) for you to export your data before it may be permanently deleted.

The Service may contain links to or integration with third-party websites, services, or applications (including Google Drive, Adobe Drive, Clip Studio Cloud, and Kickstarter). We are not responsible for the practices or content of these third-party services. Your use of any third-party service is governed by that service’s terms and privacy policy.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide you with notice of significant changes by:

  • Sending a notification to the email address associated with your account
  • Placing a prominent notice on our website

Significant changes will take effect 30 days following such notification. Non-material changes or clarifications will take effect immediately. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other provision, and such invalid provision shall be deemed severed from these Terms.

17. Waiver

No waiver by either party of any default shall be deemed as a waiver of any prior or subsequent default of the same or other provisions of these Terms.

18. Assignment

The license granted hereunder is personal to you and may not be assigned by any act of yours or by operation of law without the prior written consent of Farm Red Studios.

19. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State in which Farm Red Studios is organized, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall be resolved in the applicable state or federal courts, and you consent to the personal jurisdiction and venue of such courts.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire understanding between you and Farm Red Studios regarding the Service, and supersede all prior agreements and understandings, whether written or oral.
